Terms of Service for the Usui International Corporation Notification Text Message System — how it works, what you're agreeing to, and how to stop it at any time.

Usui International Corporation Notification Text Message System Terms of Service

Effective Date: August 14, 2026 — applies to all plants and offices (Plymouth, MI · Chesapeake, VA · Sharonville, OH · West Chester, OH)

01Program Overview

Usui International Corporation ("UIC," "we," or "us") operates a Notification Text Message System (the "Service") through a third-party SMS delivery provider, to reach employees, contractors, and other authorized site personnel ("you") with time-sensitive site and safety information. The Service exists for one purpose: site notification and safety-related communication. We do not use it for recruiting, marketing, or general company announcements.

Enrollment is voluntary. If you choose to enroll, you're agreeing to these Terms of Service ("Terms"), which explain how the Service operates and what you're agreeing to by using it. See Section 17 for how disputes related to the Service are handled.

02Enrollment & Consent

2.1 How to Enroll

You can enroll by submitting your mobile number through the form your plant or office provides, by texting a designated keyword (such as JOIN or START) to our notification number, or through any other enrollment method UIC makes available. No purchase is required to enroll, and enrollment is never a condition of employment.

2.2 What You're Agreeing To

By enrolling, you give express written consent to receive automated text messages from UIC at the number you provide, and you confirm that you are the account holder for that number, or have that person's permission to enroll it. The disclosure below is presented at every point of enrollment, exactly as shown:

This exact wording — brand name, purpose, "message frequency varies," "message and data rates may apply," HELP/STOP instructions, and links to these Terms and the Privacy Policy — is what should appear on every enrollment channel (web form, paper form, or text-to-join reply) to meet 10DLC and CTIA consent requirements.

2.3 Confirmation

Within 24 hours of enrolling, you'll receive a confirmation text acknowledging that you're subscribed to the Service, restating the brand name, message frequency, rate disclosure, and HELP/STOP instructions.

03Message Frequency & Content

Message frequency varies. How often you hear from us depends entirely on what's happening on site. We may also send occasional test messages to confirm the Service is working, and we can send messages at any hour, on any day, since some situations don't wait for business hours.

Messages you may receive include, but aren't limited to:

  • Plant evacuations or shelter-in-place instructions
  • Facility lockdowns or security incidents
  • Chemical, fire, or other hazardous-material incidents
  • Severe weather and natural-disaster warnings
  • Extended power or utility outages
  • Status updates during an active site incident
  • All-clear notices once an incident is resolved

04Costs & Charges

UIC does not charge for the Service. That said, standard message and data rates from your mobile carrier apply, and those rates vary by carrier and plan. You're responsible for any charges your carrier bills you for sending or receiving these messages — check with your carrier if you have questions about your plan.

05Carriers & Devices

The Service works with participating carriers, but we can't guarantee support across every carrier or device. If your carrier doesn't support the Service, or a message is delayed or never arrives because of a carrier, device, or network issue, that's outside our control and outside our responsibility.

06Opting Out

6.1 How

You can leave the Service at any time by texting STOP (or UNSUBSCRIBE, CANCEL, END, or QUIT) to our notification number, or by contacting the UIC Human Resources (HR) Department directly.

6.2 Confirmation

We'll send a text confirming your opt-out, in substantially this form: "Usui International Corporation (UIC): You have been unsubscribed and will no longer receive any further messages. Text START to rejoin." Once you're out, you won't receive further Service messages.

6.3 Re-Enrolling

Changed your mind? Text START to re-subscribe, or complete the enrollment process again.

6.4 A Note on Opting Out

Enrollment is always your choice, and opting out carries no penalty. But we strongly encourage staying enrolled — this Service is one of the fastest ways we can reach you about a site situation. If you opt out, you're still responsible for watching other notification channels at your site and following posted safety procedures.

07Availability

Not every device, handset, or region is guaranteed to receive messages through the Service. UIC, our SMS provider, and participating carriers aren't liable for delivery delays, missed messages, or message errors caused by factors outside our control — network conditions among them. If your carrier doesn't participate, or you're on a plan that limits texting (some prepaid plans, for example), you may not be able to use the Service; confirm with your carrier if you're unsure.

08Your Responsibilities

By enrolling, you agree to:

  • Provide a current, accurate mobile number
  • Use the Service only for its intended notification purpose
  • Avoid forwarding or redistributing Service messages in ways that could cause confusion
  • Not misuse STOP, START, or other Service keywords

09Keeping Your Number Current

If you're about to stop using the number you enrolled with — cancelling a line, switching carriers, or handing the number off to someone else — text STOP to our notification number before you do. This matters: if you give up a number without opting out first, a future owner of that number could end up receiving our messages, and you agree to be responsible for any costs or claims that result from that. This obligation survives even after you leave the Service.

10Our Rights & Responsibilities

10.1 Changes to the Service

We can modify, pause, or shut down the Service at any time, for any reason — maintenance, technical issues, or a change in how we handle site communications — with or without advance notice.

10.2 What We Don't Promise

We'll make a reasonable effort to get Service messages to you quickly, but we can't promise that every message will arrive, arrive on time, work on every device or carrier, or that the Service will run without interruption or error.

10.3 Our Discretion

UIC decides, at its own discretion, what situations are worth a Service message, and what that message says and when it goes out.

11Help & Support

Text HELP to our notification number for support contact information. You can also reach the UIC Human Resources (HR) Department directly for anything related to the Service.

Support hours: Monday–Friday, 8:00 AM – 5:00 PM Eastern Time.

12Privacy

Enrolling means you also agree to our Privacy and Cookies Policy, which explains how we collect, use, and safeguard your mobile number and related information.

13Warranties & Liability

The Service is offered on an "as-is" basis. Like any text-messaging system, we can't guarantee that every message will be delivered, or delivered on time. To the extent allowed by law, UIC and its officers, employees, and affiliates aren't responsible for indirect or consequential losses arising from your use of, or inability to use, the Service.

14Not a Substitute for Site Procedures

The Service supplements — it does not replace — the posted emergency procedures, alarms, evacuation routes, and safety systems already in place at every UIC facility. Whether or not you receive a text, you're still expected to follow all posted procedures and respond to every emergency alarm and instruction.

15Changes to These Terms

We may update these Terms from time to time; changes take effect as soon as they're posted here. Please check back periodically. If you continue to receive and accept messages from the Service after a change, that counts as your acceptance of the update. We may also notify you of significant changes by text.

16Termination

We can suspend or end your access to the Service if we believe you've violated these Terms, and your access ends automatically if your mobile service lapses or is disconnected. We may also modify or discontinue the Service, in whole or in part, at any time.

17Governing Law

These Terms are governed by the laws of the state where your UIC work location is based, without regard to its conflict-of-law rules. Any dispute relating to the Service will be handled under applicable law in that state.

18Severability

If any part of these Terms is found unenforceable, the rest remains in full effect, and the unenforceable part will be applied to the fullest extent the law allows.

19Entire Agreement

These Terms, together with our Privacy and Cookies Policy, make up the entire agreement between you and UIC regarding the Service, and they replace any earlier understanding on the same subject.
